Section I
The name of the organization shall be known as the Mid America Cobra Club, a not-for-profit organization.
Section II
The purpose of the organization is to provide owners, operators, and enthusiasts of Cobra automobiles, whether original or replica, to share ideas, skills, and experiences of these handcrafted automobiles with anyone who might be interested in this hobby. While the structure of the club is 'Not-for profit', and must maintain reasonable legal records and order of business, it is the intent of forming this club to generate a safe and pleasurable, organized environment to enjoy fun events as a group.
Section III
Any adult will be eligible for membership upon a completion of an application and payment of dues, plus important requirements under Section VIII.
Section IV
Annual membership dues shall be payable in full in January of each year, thereafter a 30-day grace period will prevail, and then the member will be dropped from the active membership roster. Members joining after June 1st will be charged ½ of the first year's dues.
Section V
The club will meet the second Saturday of each month on a regular basis and all members will be reminded by either mail or electronic mail of those meetings. Any procedures or amendments to the by-laws that require a membership vote will be handled on a simple majority of those present.
Section VI
The Board of Directors will handle the administration of the club until such time as the election of the first year's officers. At the time of the officers are elected, they will serve for two years from that time. Officers will be elected by a majority of the members present at a general meeting, having been notified of the upcoming election.
Section VII
The officers shall be as follows:
President: Shall preside over meetings, as well as be the spokesperson for the Mid America Cobra Club.
Vice-President: Shall assume the duties of the president during his/her absence, as well as make themselves available for both mail and phone inquiries concerning club activities.
Secretary: Shall keep accurate minutes of all club meetings and present them at the following months meeting for the approval of the attendees. He/she shall also keep records of any business conducted by the club. Due to this importance of this position, he/she shall have someone to perform the duties if unable to attend meetings.
Treasurer: Shall administer a checking account on behalf of the M.A.C.C. and administer all funds and collections and such disbursements as the officers or club membership dictates. He/she should maintain such records for any external audit, and shall present a treasurer's report monthly which the secretary shall record. In addition, he/she shall work with the Secretary to provide an annual report to maintain our 'Not-for-profit' status with the state.
Special Appointments: The officers/directors may make special appointments based on special skills to perform special duties (i.e. a social committee for a particular event, a steering committee to study monthly projects, etc.) These special situation will serve as the will of the President/Vice-president.
Historian/Web Site Person: This would be a future appointment requiring expertise in computers to set up a calendar of events and information source. The other appointment would require accumulating information on the member's cars, buildings etc., with pictures to serve as a possible annual club report.
Section VIII
Special membership requirements: As all of the club members are well aware, our hobby involves automobiles capable of high performance. Therefore, the by-laws must address liability and safety concerns. (1) Each applicant must carry and produce evidence of public liability and property damage insurance. As this is required by law in both Kansas and Missouri, this will be required by Mid America Cobra Club. (2) Each applicant must have a valid operators license at all times. (3) As our club cannot be held responsible for negligent acts, each applicant must operate his/her automobile using good judgment at all times, and be reminded that each individual is a driving example of our club. In addition, members are responsible for the responsible behavior of their invited guests. The Mid America Cobra Club cannot tolerate irresponsible driving while impaired in any way, or driving in a 'show off' way by any member or guest. These actions can result in immediate expulsion from our club. (See Section IX)
Section IX
Membership in the Mid America Cobra Club can be terminated by a simple majority vote of the officers for violations under Section VIII. In addition, on the recommendation of the officers, a membership can be terminated for: (a) non-payment of dues, (b) any breach of these by-laws, and for any reason deemed detrimental or injurious to the organization, or any of it's members, and of course, (c) resignation. Right of Appeal: Any member terminated or rejected shall have the right to appeal in writing, the actions taken. The Officers and/or Board of Review will have the final voice in the matter, and a return of dues for the year will be at their discretion. If the action of the member resulted in any use of the clubs insurance policy, whose premiums are paid by club dues, those dues shall not be refunded.

Amendments to the by-laws can be made at a regular monthly meeting, provided the membership has been given thirty (30) days notice of the proposed change, either by mail or electronic mail. The amendment changes/additions will require a 2/3 majority vote of those present. The By-laws stated herein have been read, voted upon by the Board of Directors and the general membership, and each member acknowledges that he alone is legally responsible, and liable for his actions and the Mid America Cobra Club has no responsibility whatsoever other than to provide a means to enjoy the purpose of the club as indicated in SECTION II.
